These terms constitute a legally binding agreement between you ("Client," "you," or "your") and VouchPro ("Company," "we," "us," or "our") governing your use of our event management and marketing services.

2. Services Description

VouchPro provides comprehensive event management and marketing services including, but not limited to:

• Corporate events, conferences, and seminars
• Product launches and brand activations
• Exhibitions and trade show management
• Award ceremonies and gala events
• Digital marketing and social media campaigns
• Content marketing and creative services
• Experiential marketing and brand experiences

The specific services provided will be detailed in individual service agreements or proposals agreed upon between VouchPro and the client.

3. Client Obligations

As a client of VouchPro, you agree to:

• Provide accurate and complete information necessary for event and campaign execution
• Ensure all products, services, or offers promoted through our services are legal and comply with applicable laws
• Maintain appropriate licenses and permissions for your business operations and events
• Respond promptly to requests for approvals, feedback, or additional information
• Comply with all applicable advertising standards, venue regulations, and data protection laws
• Not use our services for any illegal, fraudulent, or unethical purposes

4. Event Delivery and Performance

VouchPro strives to deliver exceptional events and marketing campaigns that meet the specifications agreed upon in your service agreement. However:

• We do not guarantee specific attendance numbers, engagement rates, or business outcomes
• Event success may vary based on external factors, venue conditions, and market circumstances
• Services are delivered according to the agreed timeline and specifications
• Any disputes regarding service quality must be raised within 7 business days of event completion
• Remediation or credits may be provided at our discretion for verified service deficiencies

5. Payment Terms

Payment terms are as follows:

• Pricing and payment schedules will be specified in individual service agreements
• Payments are typically due in advance or as specified in the agreement
• All fees are quoted in Indian Rupees (INR) unless otherwise specified
• Applicable taxes (GST, etc.) will be added to the quoted prices
• Late payments may incur interest charges and suspension of services
• Refunds are processed according to the refund policy specified in your service agreement

6. Intellectual Property

All intellectual property rights related to VouchPro's methodologies, designs, and proprietary tools remain the exclusive property of VouchPro. Clients retain ownership of their own content, trademarks, and materials provided for event and campaign use.

By providing content for events and campaigns, you grant VouchPro a non-exclusive license to use such content for the purpose of executing agreed services.

7. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information shared during the course of the business relationship. This includes:

• Campaign strategies and performance data
• Pricing and commercial terms
• Lead information and customer data
• Technical specifications and integration details

Confidentiality obligations survive the termination of any service agreement.

8. Data Protection and Privacy

VouchPro is committed to protecting personal data and complies with applicable data protection regulations. Our handling of personal data is governed by our Privacy Policy, which forms part of these Terms and Conditions.

Clients are responsible for ensuring they have appropriate consent to share attendee and customer data with VouchPro and for compliance with applicable privacy laws in their jurisdiction.

9. Limitation of Liability

To the maximum extent permitted by law:

• VouchPro's total liability shall not exceed the fees paid by the client for the specific service in question
• We shall not be liable for indirect, incidental, consequential, or punitive damages
• We are not responsible for third-party vendor failures, venue issues, or circumstances beyond our control that may affect event delivery
• Force majeure events shall excuse performance obligations during the period of such events

10. Termination

Either party may terminate services:

• With written notice as specified in the service agreement
• Immediately for material breach that remains uncured for 15 days after notice
• Immediately if either party becomes insolvent or enters bankruptcy proceedings

Upon termination, clients remain liable for all fees incurred up to the termination date.

11. Governing Law and Disputes

These Terms and Conditions are governed by the laws of India. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts in New Delhi, India.

Before initiating legal proceedings, both parties agree to attempt resolution through good-faith negotiation and mediation.

12. Modifications to Terms

VouchPro reserves the right to modify these Terms and Conditions at any time. Changes will be effective upon posting to this website. Continued use of our services after such modifications constitutes acceptance of the updated terms.

For significant changes, we will provide advance notice via email to active clients.
